Concessions, 1 euro contracts abolished - New PPP Law/ Guarantee up to 5% of the contract value
Public-private partnership contracts will now be dealt with under a completely new law, which also removes the concept of granting public assets for the symbolic value of 1 euro. The new law on “concessions and public-private partnerships” has been published in the Official Gazette and will enter into force on January 28.
But what are the innovations brought by this law?
The law establishes clear rules for the planning, award, administration and supervision of concession contracts, based on the principles of transparency, non-discrimination, proportionality and legal certainty. Specifically, for each concession, a feasibility study must be carried out in advance and approved by the Ministry of Finance, after all costs-benefits and potential risks for the state budget have been analyzed.
The law establishes strong criteria for local units (Municipalities) not to enter into long-term contracts without having financial capacity and it is foreseen that special units will be created within each institution that will monitor the implementation of the contract in real time. It also foresees the full functionality of the Electronic Concessions Registry, where procedural documents will be published.
According to the law, before signing the contract, the contracting authority or contracting entity receives from the most successful bidder the guarantees required for the implementation of the contract and security instruments as compensation for the damage that may be caused as a result of the failure of the concessionaires/private partners to fulfill the foreseen obligations.
The insurance of the concession contract/public private partnership of public services will be up to 5% of the contract value. This amount may be reduced proportionally during the execution of the contract, but in no case during its duration may it be less than 25% of the initial insurance value.
The security for the concession/public private partnership contract for public works will be up to 5% of the construction value, while after the construction period it will be up to 5% of the remaining contract value.
As for concession fees, the amount and method of monetary compensation must be specifically specified in the tender documents and in the concession/public private partnership contract.
Public-private concessions/partnerships applied in the field of health and sports will be exempted from the concession fee. In case of non-payment, the Minister's order constitutes an executive title for second-tier banks.
Afati i kontratave do të jetë në varësi të punëve ose shërbimeve të kërkuara. Për kontratat që zgjasin më shumë se 5 vjet, afati maksimal nuk duhet të kalojë kohën e arsyeshme për rikuperimin e investimeve dhe një kthim mbi kapitalin e investuar. Sipas ligjit, lejohet ndryshimin e kontratës jo më herët se 2 vjet nga fillimi i zbatimit, nëse kjo është parashikuar në dokumentet fillestare.
Nënkontraktimi nuk duhet të tejkalojë 50% të vlerës së përgjithshme të kontratës. Autoriteti kontraktues miraton nënkontraktorët përpara lidhjes së nënkontratës dhe operatori ekonomik kryesor mbetet plotësisht përgjegjës për zbatimin e kontratës, pavarësisht nënkontraktimit. Operatorët do të kenë të drejtë për transferim kontrate nëse subjekti i tretë përmbush kriteret e kualifikimit, të përcaktuara në dokumentet e tenderit, por vetëm pas marrjes së miratimit paraprak nga ministria përgjegjëse për financat.
Ligji përcakton se Autoriteti ose enti kontraktues mund të ndërpresë kontratën kur koncesionari/partneri privat nuk mund të kryejë detyrimet e veta, për shkak të paaftësisë paguese, shkeljeve serioze apo çështjeve të tjera, që pengojnë apo nuk lejojnë vazhdimin e kontratës apo dështon në sigurimin e financimit të projektit brenda 12 muajve, përveç rasteve kur është parashikuar ndryshe në kontratë.
